Securitize

Securitize is the Miami company that keeps the on-chain register for BlackRock's BUIDL and a long list of other tokenized funds. It matters because it is the only pure-play tokenization company with public accounts, so its filings show what the business of tokenizing assets actually earns.

What it does

A transfer agent is the licensed firm that keeps a fund's or company's official list of owners and records every issue, transfer and redemption. In a traditional fund that list lives in a database. At Securitize, balances and each wallet's KYC status live on a public blockchain, while names and personal data stay off-chain. Its SEC filings call the chain the "master securityholder file".

Securitize holds four regulated roles inside one group: an SEC-registered broker-dealer, a digital transfer agent, a fund administrator and the operator of a regulated alternative trading system. In a classic fund these are four separate firms. For BUIDL, Securitize keeps the register and its broker-dealer places the shares, while BNY Mellon holds the Treasury bills.

Its tokens run on DS Protocol, its own contract architecture. The code is verified on-chain and readable, but it is not a public standard, and every BUIDL transfer runs checks across eleven separate contracts.

On 2 July 2026 Securitize began trading on the New York Stock Exchange as SECZ, after merging with a Cantor Fitzgerald special-purpose acquisition company at a valuation of about 1.25 bn USD.

How it is different

Securitize earns money two ways, and neither grows with trading. Tokenization revenue is project work: structuring a fund and connecting it to new chains. Asset-servicing revenue is the running fee for keeping registers. In the second quarter of 2026 transaction volume on its platform rose 147% while revenue fell, because the model charges no fee on turnover. More activity costs Securitize more to support without earning more.

The legal weight of its register is its real product. An April 2024 analysis of BUIDL's offering memorandum by Steakhouse Financial states that where the register and the chain disagree, the register binds. A holder's rights therefore depend on Securitize's books, which is why managers pay a licensed transfer agent rather than simply deploying a token.

Securitize also chooses the price feeds for its funds. It named RedStone its primary oracle partner on 12 March 2025, and Chronicle supplies proof of assets for BUIDL and STAC. On Aave Horizon, Chainlink's NAVLink prices Securitize funds used as collateral.

Risks and open questions

The company loses money. It reported a 21.7 mn USD net loss in the second quarter of 2026, and tokenization revenue fell because fewer new integrations closed in the quarter.

Upgrade power is concentrated. BUIDL uses a short proxy contract of Securitize's own design, and on my reading of Ethereum on 4 September 2026 no timelock sits in front of an upgrade or a seizure. The seize call emits an event, but its reason field is free text with no link to a court order or document.

Its assets are concentrated in a few funds, with BUIDL the largest, so the loss of one manager would hit revenue hard.

What to watch next

  • A fee on activity: any pricing that grows with trading or transfers would fix the main weakness in its model.
  • The NYSE agreement: Securitize signed a memorandum of understanding with the New York Stock Exchange in 2026, and live trading of its tokens on a national exchange would be a first.
  • DTC's tokenization pilot: the SEC's December 2025 no-action letter lets the central securities depository tokenize holdings, which could make a separate digital transfer agent less necessary.
  • Quarterly results as a public company: each report now shows whether tokenization can pay for itself.
